1 Introduction 

These Terms are a legal agreement between you and ProfitBuyz Limited. ProfitBuyz reserves the right to amend these Terms at any time, with or without prior notification to you. Consequently, it is important that you review these Terms regularly to remain fully informed of any modifications. Alternatively, you may contact the ProfitBuyz customer support team to obtain the most current version.

1.4 Please read these TOU carefully. 

1.6 To ensure clarity and consistency, these Terms of Use (TOU) shall take precedence in the event of any conflicts with other statements, guidelines, or policies relevant to the ProfitBuyz Business, as specified in section 1.7 below.

1.7 These TOU are applicable to all individuals and legal entities engaging with the ProfitBuyz Business. The ProfitBuyz Seller Terms specifically address the requirements for those selling on our platform, while the ProfitBuyz Buyer Terms, which are incorporated within the Seller Terms, are directed towards those making purchases. It is essential to understand that these contracts are intended to complement the TOU rather than supersede them. In instances where there might be a conflict between the Seller Terms, Buyer Terms, and these TOU, the provisions within those contracts will take precedence to maintain clarity and integrity in our operations.

1.8 All products displayed on the ProfitBuyz Business are sold by third party independent sellers, and the seller details will show on the Product Page. ProfitBuyz may in some circumstances directly sell a product. The product shall have ProfitBuyz Business as the seller. ProfitBuyz Business provides the platform and acts as commercial agent for the both sellers and buyers. ProfitBuyz’s agreements with sellers authorise ProfitBuyz to conclude the sale of products to buyers. However, this is optional. This means that sellers can conclude sale alone provided that the sellers follow the seller’s terms and this TOU.  A contract formed when a seller or buyer sign up an account on ProfitBuyz Business platform. ProfitBuyz does not exert direct control over products or deliveries. When payment is made by a buyer in Africa, the funds are paid to ProfitBuyz Ltd in its role as commercial agent for the seller. Payment by the buyer to the relevant ProfitBuyz company settles the debt owed by the buyer to the Seller. Full details of the buyer payments and refunds mechanism is set out in the Buyers Terms. All purchases made via the ProfitBuyz Business are automatically covered by ProfitBuyz Protection.

1.9 In consideration of your utilization of the ProfitBuyz Business, you agree to the following:

(a) provide accurate, current, and complete information about yourself at all times; and

(b) comply with these Terms of Use and any additional policies associated with ProfitBuyz Business. Thank you for your cooperation and commitment.

2. Eligibility for Membership
Minors under the age of 18 are prohibited to register as a Seller or Buyer on this website and are prohibited to perform any form of transaction on this platform or any data whatsoever from this website.

3. Suppliers

Sellers are not permitted to advertise any item, product, or service that is illegal, offensive, abusive, fraudulent, or fake. We reserve the right to remove such items and report the offender(s) to relevant authorities.

4. Payments, Fees, Invoicing and Deposit
4.1 We accept all major credit and debit cards for the payment of our Services.

4.2 We expressly reserve the right to change or modify the price of our Subscription Fee and any other fees we charge you to access the ProfitBuyz Business Platform and the Services at any time. Any such changes or modifications will be posted on our Website and updated within these Terms and shall become effective immediately without the need for further notice to you.

4.3 In accordance with applicable Money Laundering, Terrorist Financing and Transfer of laws, ProfitBuyz Business is obliged to monitor the content of the transactions we process for our Users, and the Users involved. We reserve the right to refuse or withdraw access to the ProfitBuyz Business Platform or block payments made to you as appropriate if we detect any suspicious activity without incurring any liability to you.

4.4 You hereby warrant that all payments made by you or received by you through the ProfitBuyz Business Platform comply with all money laundering laws and regulations that may be applicable to you.

4.5 Any monies held by ProfitBuyz Business on behalf of Users shall be held in a separate bank account to that of our primary operating account(s) or held with our external payment gateway provider for as long as reasonably possible prior to disbursement by us and shall be held in the currency in which they were received.

5. Copyright
All content included on the website, including but not limited to logos, graphics, text, icons, images, digital downloads, and software is the property and copyright work of either ProfitBuyz, its users, and its content suppliers and is protected by copyright, trademarks, patents or other intellectual property rights and laws. The compilation of the content on this website is the exclusive property and copyright of ProfitBuyz and is protected by trademarks, copyright, patents, or other intellectual property rights and laws.

6. Governing Law
This User Agreement is governed by and construed in accordance with, United Kingdom law. This clause will survive any expiry or cancellation of this User Agreement for any reason.

7. Indemnity
You agree to indemnify and hold ProfitBuyz and its employees, affiliates, agents , officers, and suppliers harmless from any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses), howsoever suffered or incurred due to or arising out of shopping, getting support, consultation, or visit our website or any of our physical shops, as well as if you breach this User Agreement, or violate any law or the rights of a third party.

8. Withdrawal of Access and/or Membership
Without prejudice to any other rights and remedies of ProfitBuyz under this User Agreement or at law or otherwise, ProfitBuyz may limit, suspend or withdraw your subscription, membership and/or your access to the website at any time, without notice, for any reason, including without limitation, breach of this User Agreement.

9. Providing Feedback
ProfitBuyz encourages buyers and sellers on the website to provide feedback on each other’s conduct after a transaction has closed; as this helps all users know what it is like to deal with the said buyer/seller. Your feedback will be displayed along with your user ID on the website. You cannot retract the feedback once you have left it. ProfitBuyz will not be responsible or liable in any way for the feedback that you post on the website. You agree not to make comments that are not factual in nature including without limitation making any racist comments, using profanity, abusing another user, or any other derogatory or inappropriate comments. You further agree not to post feedback in order to solicit sales outside of the website and not to display the contact information of any person within any feedback. If you continuously receive negative feedback ratings, without prejudice to any other rights and remedies of ProfitBuyz under this User Agreement or at law, ProfitBuyz reserves the right to suspend, limit or withdraw your access to the website and/or your membership of the website. You acknowledge and agree that your feedback consists of comments left by other users with whom you transact and a composite feedback number compiled by ProfitBuyz and that together these convey your full user profile.

10. Privacy
ProfitBuyz takes reasonable measures (physical, organizational and technological) to safeguard against unauthorized access to your personally identifiable information and to safely store your personally identifiable information. However, the Internet is not a secure medium, and the privacy of your personal information can never be guaranteed. ProfitBuyz has no control over the practices of third parties (e.g. website links to this Site or third parties who misrepresent themselves as you or someone else). You agree that ProfitBuyz may process your personal information that you provide to it for the purposes of providing the services on ProfitBuyz and for sending marketing communications to you and that the Privacy Policy of this website governs our collection, processing, use, and any transfer of your personally identifiable information.

11. Abusing ProfitBuyz
Please report problems of any kind or violations of this User Agreement to ProfitBuyz. If you believe that your intellectual property rights have been violated, please notify ProfitBuyz. Without prejudice to any other rights and remedies of ProfitBuyz under this User Agreement or at law, ProfitBuyz may limit, suspend or withdraw a user’s access to the website and/or a user’s membership of the website or removes posted content. Also ProfitBuyz can choose to take other technical and/or legal steps against users who create problems or possible legal liabilities of any kind, who infringe the intellectual property rights of third parties or who act inconsistently with this User Agreement or our policies.

12. Trademarks
“ProfitBuyz” and related logos, and other words and logos on the website are either unregistered trademarks or registered trademarks of ProfitBuyz and are protected by international trademark and other intellectual property rights and laws. ProfitBuyz’s trademarks may not be used in connection with any product or service that is not ProfitBuyz’s nor in any manner that disparages or discredits ProfitBuyz. All other trademarks not owned by ProfitBuyz that appear on the websites are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by ProfitBuyz.

13. Disputes
Any dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of United Kingdom.
